David Cohen has dedicated more than three decades serving as a business partner and representing clients in matters related to corporate issues, taxation and securities law. He regularly advises manufacturing and technology companies on mergers and acquisitions, financing, development, licensing, real estate, protection of technology, non-competition and confidentiality agreements, licensing of technology and management information systems, executive compensation and general business and tax issues. He has represented both venture capital and emerging business entities in connection with venture investments. He counsels not-for-profit charities and trade associations on general business and tax matters including obtaining and maintaining tax-exempt status. In addition, he advises family businesses on management and wealth distribution strategies.

Prior to founding Cohen & Grace, LLC, David was a partner at Baskin & Sears, Reed Smith and Cohen & Grigsby. He also has three years of public accounting experience with Ernst & Ernst, predecessor to Ernst & Young, with the audit and tax staff.

David has worked closely with numerous companies and institutions, both in the for-profit and not-for-profit sectors, including manufacturing, healthcare, consulting, public charities, trade associations, education and service industries. He successfully completed a major project as general counsel in connection with financing, acquisition, construction, outfitting and operation of a steel industry "Brownfield" processing facility. He has likewise served as counsel to various healthcare entities in connection with the overhaul of their hospital information systems, outsourcing of IT services and acquisition and licensing of equipment and software.

David has served as Audit Committee Chairman for a publicly traded manufacturing company and has served on the boards of a number of non-profit charities and as Chairman of one. In addition, David serves as a trusted fiduciary for a number of personal and family trusts.
